Governing Law

These Terms and your use of the Website and Services are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

Any legal action of whatever nature brought by either you or us (collectively, the "Parties" and individually, a "Party") shall be commenced or prosecuted in the provincial and federal courts located in Quebec City, Quebec, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.

Dispute Resolution

Any legal controversy or legal claim arising out of or relating to these Terms or our Services shall be settled by arbitration in Quebec City, Quebec, in accordance with the rules of the ADR Institute of Canada then in effect.

The arbitration shall be conducted in English, and the award of the arbitrator may be enforced in any court of competent jurisdiction. Notwithstanding the foregoing, either Party may seek injunctive relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights.

Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Website and Services will cease immediately. If you wish to terminate your account, you may simply discontinue using the Website and Services.
